General Terms and Conditions of Luingo OS

  1. Luingo OS refers to the software-as-a-service (SaaS) platform developed and operated by Quantum369 Ltd. It includes a web-based desktop Operational Suite (“Back Office”) and mobile applications designed for on-site staff at managed properties.
  2. Company, We, or Us refers to Quantum369 Ltd, a registered business in Singapore and the legal entity behind Luingo OS.
  3. Subscriber means any individual or entity who purchases a subscription plan to access Luingo OS. Subscribers are responsible for managing their account, assigning user roles, and ensuring compliance with these Terms.
  4. User refers to any individual granted access to Luingo OS by a Subscriber, within the limits of the subscription plan. Users may include staff, contractors, or other personnel involved in property operations.
  5. Free Trial refers to the initial six-week period during which Subscribers may use Luingo OS without payment. All user roles are accessible during this period. The number of properties that can be uploaded during the trial will be determined individually during the onboarding meeting.
  6. Services include all functionalities provided by Luingo OS, including onboarding, integrations, support, and operational tools.
  7. Third-Party Integrations refer to external platforms and services that Luingo OS may connect with, including but not limited to WhatsApp, Stripe, OneSignal, Twilio, and SendGrid. These integrations are subject to their own terms and conditions.
  8. User Roles include:

    • Admin: Full access to all system features and settings.

    • Operator: Manages day-to-day operations and scheduling.

    • Supervisor: Oversees staff activities and task completion.

    • Employee: Executes assigned tasks and logs attendance.

  • Eligibility: By accessing or using Luingo OS, you confirm that you are at least 18 years old and legally authorized to enter into binding agreements. Subscribers are responsible for ensuring that all assigned Users comply with these Terms.
  • Account Access: Subscribers may create and manage accounts for Users within the limits of their subscription plan. During the Free Trial period, all user roles (Admin, Operator, Supervisor, Employee) are accessible without restriction. After the trial, access is governed by the selected subscription tier.
  • Trial Period: Each new Subscriber is entitled to a six-week Free Trial. During this period:

    • All system features and user roles are available.

    • The number of properties that may be uploaded is determined during the onboarding meeting and may vary based on operational scope.

    • No payments will be deducted until the trial period ends.

  • Subscription Activation: Upon completion of the Free Trial, subscription fees will be automatically charged based on the selected plan. Continued access to Luingo OS requires an active subscription.
  • Third-Party Services: Luingo OS may integrate with external platforms, including WhatsApp, Stripe, OneSignal, Twilio, and SendGrid. Use of these services is subject to their respective terms and conditions. We are not responsible for any issues arising from third-party platforms.
  • Acceptable Use: You agree not to misuse Luingo OS, including but not limited to:

    • Uploading malicious code or malware.

    • Attempting unauthorized access to other accounts or systems.

    • Using the platform for unlawful or fraudulent activities.

  • Termination of Access: We reserve the right to suspend or terminate access to Luingo OS for any Subscriber or User who violates these Terms or engages in behavior that compromises system integrity or user safety.
  • Subscription Plans: Luingo OS offers tiered subscription plans based on operational needs, including the number of properties, users, and available features. Plan details are available on our website or through a direct onboarding consultation.
  • Billing Cycle: Subscription fees are billed automatically at the end of the six-week Free Trial. Subsequent payments are made on a monthly or annual billing cycle, depending on the selected plan.
  • Payment Methods: We accept payments via Stripe. All transactions are processed securely. By subscribing, you authorize us to charge your selected payment method for recurring fees.
  • Failed Payments: If a payment fails, we will notify the Subscriber via email and in-app alerts. Access to Luingo OS may be suspended until payment is successfully processed.
  • Upgrades and Downgrades:

    • Subscribers may upgrade their plan at any time. Upgrades take effect immediately, and a prorated charge may apply.

    • Downgrades take effect at the end of the current billing cycle. Feature access may be adjusted accordingly.

  • Refund Policy: Subscription fees are non-refundable except where required by law. We encourage Subscribers to utilize the Free Trial period to evaluate the platform before committing to a paid plan.
  • Taxes: All fees are exclusive of applicable taxes, which may be added based on jurisdiction.
  • Cancellation: Subscribers may cancel their subscription at any time via the account dashboard. Upon cancellation, access will remain active until the end of the current billing period.
  • Data Ownership: Subscribers retain full ownership of all content uploaded to Luingo OS, including property records, user profiles, operational logs, and communications. We do not claim rights over Subscriber data.
  • Data Storage & Security: Luingo OS is hosted on a secure third-party infrastructure that adheres to industry-standard security protocols. This includes encrypted data transmission (SSL), secure database management, and role-based access control. We rely on the platform’s built-in protections to ensure data integrity and system reliability.
  • User Information: We collect and store limited personal data necessary to operate the service, such as names, email addresses, phone numbers, and assigned roles. This data is used solely for account management, service delivery, and communication.
  • Location Data & GPS Tracking: Luingo OS may collect real-time location data from mobile devices used by Employees, Supervisors, or other field staff. This feature is used to:

    • Verify attendance and task completion on-site.

    • Optimize operational workflows and staff coordination.

    • Enhance accountability and service quality.

    Employees must explicitly agree to enable GPS tracking when using the mobile app. Location data is only collected while the app is active and in use for work-related purposes. Subscribers are responsible for informing their staff and obtaining necessary consent in accordance with local laws.

  • Third-Party Integrations: Luingo OS connects with external services including WhatsApp, Stripe, OneSignal, Twilio, and SendGrid. These integrations may process user data independently and are governed by their respective privacy policies. Subscribers are encouraged to review those policies for additional details.
  • App Store Compliance: Our mobile applications comply with Apple App Store and Google Play Store requirements, including data handling, user consent, and branding specifications. We do not collect sensitive personal data without explicit user permission.
  • Data Retention: Subscriber data is retained for the duration of the active subscription. Upon cancellation, data may be archived or deleted in accordance with our retention policy and applicable regulations.

  • Subscriber Accountability: Subscribers are responsible for:

    • Ensuring that all assigned Users comply with these Terms.

    • Managing subscription limits, including the number of properties and users.

    • Communicating operational expectations and legal obligations to their staff.

  • User Conduct: All Users must use Luingo OS in a lawful, respectful, and professional manner. Prohibited behaviors include:

    • Attempting to access unauthorized areas of the system.

    • Uploading malicious code, spam, or fraudulent content.

    • Misusing third-party integrations or impersonating other users.

  • Role-Based Access: Users are granted access based on their assigned roles (Admin, Operator, Supervisor, Employee). Each role carries specific permissions and responsibilities. Users must not attempt to bypass or manipulate role restrictions.
  • Device & App Usage: Users are responsible for maintaining the security of their devices and ensuring that Luingo OS mobile apps are used only for authorized work-related activities.
  • Location Tracking Consent: Employees and other field staff must explicitly consent to GPS tracking when using the mobile app. Location data is collected only during active use and solely for operational purposes such as attendance verification and task coordination. Users who do not consent may be restricted from certain features.
  • Data Accuracy: Subscribers and Users must ensure that all submitted data—including task updates, attendance logs, property records, and communications – is accurate and truthful. Quantum369 Ltd reserves the right to suspend or terminate access to Luingo OS in cases of deliberate falsification, misuse of system features (including GPS tracking), or any behavior that compromises operational integrity or violates applicable laws.
  • Compliance with Laws: Subscribers and Users are responsible for complying with all applicable local, national, and international laws, including labor regulations, data protection rules, and digital communication standards.

Quantum369 Ltd reserves the right to suspend or terminate a Subscriber’s access to Luingo OS, including all associated mobile and web applications, at any time and without prior notice under the following circumstances:

  • Violation of Terms: Breach of any provision outlined in these Terms of Use, including but not limited to misuse of platform features, falsification of data, or unauthorized access.

  • Security or Integrity Risk: Activities that compromise the security, performance, or integrity of the Luingo OS platform, including malware distribution, system exploitation, or unauthorized API usage.

  • Non-Payment: Failure to pay subscription fees or usage-based charges within the designated billing cycle or grace period.

  • Abuse of Messaging or Integrations: Use of integrated services (e.g., WhatsApp, push notifications, Twilio) for spam, harassment, or unauthorized communications.

  • Legal or Regulatory Exposure: Use of the platform in a manner that violates applicable laws, regulations, or industry standards, or exposes Quantum369 Ltd to legal liability.

Suspension may be temporary or permanent, depending on the severity and nature of the violation. Quantum369 Ltd will make reasonable efforts to notify the Subscriber of any suspension or termination and may, at its sole discretion, offer a resolution pathway or reinstatement conditions.

Upon termination, all access credentials will be revoked, and associated data may be retained or deleted in accordance with the Data Retention Policy.

  • Quantum369 Ltd retains Subscriber data—including operational records, user activity logs, messaging history, and uploaded content—for the duration of the active subscription and for a limited period thereafter, as outlined below:
  • Active Accounts: Data is retained and accessible for the duration of the subscription, subject to storage limits and usage policies.

  • Suspended Accounts: Data may be retained for up to 90 days to allow for resolution, reinstatement, or export. Access may be restricted during this period.

  • Terminated Accounts: Upon termination, data will be retained for a maximum of 30 days unless otherwise required by law or contractual obligation. After this period, data may be permanently deleted without further notice.

  • Export Requests: Subscribers may request a data export prior to termination or within the retention window. Quantum369 Ltd will provide data in a structured format (e.g., CSV or JSON) where feasible.

  • Legal Compliance: Data may be retained beyond the standard retention period if required for legal, regulatory, or audit purposes.

Quantum369 Ltd is not responsible for data loss resulting from Subscriber’s failure to export data prior to termination or expiration of the retention window.

Quantum369 Ltd is committed to maintaining the confidentiality, integrity, and availability of Subscriber data. Luingo OS employs industry-standard security measures, including encrypted data transmission (SSL/TLS), role-based access controls, and regular system audits.

Subscriber data is stored in secure cloud environments with access restricted to authorized personnel. Quantum369 Ltd does not sell, rent, or share Subscriber data with third parties except as required for service delivery, legal compliance, or with explicit Subscriber consent.

Subscribers are responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account. Quantum369 Ltd shall not be liable for unauthorized access resulting from compromised credentials or failure to implement recommended security practices.

Luingo OS may offer optional integrations with third-party services—including but not limited to WhatsApp, Twilio, OneSignal, Meta Cloud API, and other messaging, notification, or data platforms. These integrations are provided for convenience and enhanced functionality, but Quantum369 Ltd does not control or guarantee the performance, availability, or data handling practices of third-party providers.

By enabling or using any third-party integration, the Subscriber acknowledges and agrees to the following:

  • Responsibility: The Subscriber is solely responsible for configuring, maintaining, and complying with the terms of service of each third-party provider.
  • Data Sharing: Certain Subscriber data (e.g., phone numbers, message content, user identifiers) may be transmitted to third-party platforms as part of integration workflows. Quantum369 Ltd will only transmit data necessary for the intended function and will not store or reuse such data beyond operational requirements.
  • Service Disruption: Quantum369 Ltd is not liable for any downtime, errors, or limitations caused by third-party services, nor for any resulting impact on Subscriber operations.
  • Security and Compliance: Subscribers must ensure that their use of third-party integrations complies with applicable laws, including data protection, privacy, and messaging regulations.
  • Termination of Integration: Quantum369 Ltd reserves the right to modify, suspend, or discontinue any third-party integration at its sole discretion, with or without notice.

 

Use of third-party services is at the Subscriber’s own risk. Quantum369 Ltd recommends reviewing each provider’s documentation and terms before activation.

  • Luingo OS may offer optional integrations with third-party platforms and services for property listing and booking management, including but not limited to Airbnb, Booking.com, Agoda, Expedia, and channel managers such as SiteMinder, Cloudbeds, or STAAH. These integrations are provided to enhance operational efficiency and centralize data flow, but Quantum369 Ltd does not control or guarantee the performance, accuracy, or availability of third-party systems.

By enabling or using any OTA or channel manager integration, the Subscriber agrees to the following:

  • Data Sync Responsibility: The Subscriber is responsible for ensuring that property data, availability, pricing, and booking rules are correctly configured and synchronized across all connected platforms.

  • Third-Party Terms: Use of OTA or channel manager services is subject to the terms and conditions of each respective provider. Quantum369 Ltd is not liable for any breach, penalty, or dispute arising from Subscriber’s use of these services.

  • Booking Discrepancies: Quantum369 Ltd is not responsible for overbookings, missed updates, or pricing errors resulting from third-party API delays, outages, or misconfigurations.

  • Service Changes: Quantum369 Ltd reserves the right to modify, suspend, or discontinue any OTA or channel manager integration at its sole discretion, with or without notice.

  • Compliance: Subscribers must ensure that their use of OTA integrations complies with applicable laws, including consumer protection, tax reporting, and local accommodation regulations.

Quantum369 Ltd recommends regular audits of OTA configurations and encourages Subscribers to maintain direct access credentials for all connected platforms.

Luingo OS is provided “as is” and “as available,” without warranties of any kind, either express or implied. Quantum369 Ltd disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and uninterrupted service.

Quantum369 Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages – including but not limited to loss of data, revenue, profits, or business opportunities – arising from or related to the use of Luingo OS, third-party integrations, or service interruptions, even if advised of the possibility of such damages.

The subscriber assumes full responsibility for evaluating the suitability of Luingo OS for their operational needs and for implementing appropriate safeguards and backup procedures.

Quantum369 Ltd aims to maintain a monthly uptime of 99.5% for Luingo OS, excluding scheduled maintenance, emergency updates, or outages caused by third-party providers or force majeure events.

  • Scheduled Maintenance: Subscribers will be notified at least 24 hours in advance of any planned downtime exceeding 15 minutes.

  • Support Response Times: Technical support inquiries submitted via the designated channel will receive a response within 24 business hours.

  • Incident Resolution: Critical system issues will be prioritized and addressed as promptly as possible, with updates provided throughout the resolution process.

This SLA does not apply to beta features, custom deployments, or third-party integrations. Quantum369 Ltd reserves the right to modify SLA terms with reasonable notice.
